USA Rare Earth has completed its acquisition of SVRE Holdings Ltd., the Serra Verde Group owner, on September 3, bringing Brazil’s Pela Ema rare-earth mine and processing plant under USAR’s ownership. The closing moves USAR beyond a development-only asset mix by adding an operating mining and processing operation, while also making the transaction’s equity issuance, assumed obligations and integration execution central to the financial picture. 23

The merger consideration was $300 million in cash plus 126,849,307 USAR shares, according to the transaction summaries. That is the completed deal consideration stated in the supplied closing material; it should not be conflated with the approximately $2.8 billion value cited when USAR announced the definitive acquisition agreement in April. 28

The acquisition gives USAR full ownership of Pela Ema and its processing plant in Brazil. It also includes an offtake contract, according to the closing summary. 3 The April merger-agreement announcement described Serra Verde as an operation producing all four magnetic rare-earth elements outside Asia and said the combination included a 15-year agreement for 100% offtake with a special-purpose vehicle capitalized by U.S. government parties and private capital sources, including specified price floors for neodymium, praseodymium, dysprosium and terbium. Those announced commercial arrangements are distinct from the completed acquisition consideration. 8

The deal also brings material financing and liability considerations. USAR assumes a long-term DFC project-finance facility of up to $565 million, with $425 million outstanding as of June 30, 2026, as well as a royalty obligation of about $226.9 million, according to the closing summary. 2 A facility limit is not the same as borrowings outstanding, and neither amount is described as cash paid to USAR at closing.

Equity dilution is another immediate consequence. USAR subsequently registered up to 126,476,950 existing shares for resale by selling stockholders. The filing summary says those resale shares represented about 33.7% of USAR’s 375,076,567 shares outstanding as of September 3 and that USAR would receive no proceeds from their resale. 3 The registered resale amount is slightly below the 126,849,307 shares issued as merger consideration, so the registration should not be presented as a new issuance equal to the full deal share count.

The near-term operating case rests on integration and Serra Verde’s delivery rather than on an achieved combined earnings result. In April, USAR said Serra Verde was expected to deliver $550 million to $650 million of annualized run-rate EBITDA by the end of 2027 and that the combined company was expected to generate about $1.8 billion of EBITDA in 2030. These were expectations at announcement, not reported production, cash flow or EBITDA results. 8

USAR’s Serra Verde closing therefore materially changes the company’s operating footprint: Pela Ema is now part of the group, acquired for $300 million cash and 126,849,307 shares. But the investor question has shifted from whether the asset will be acquired to whether USAR can integrate it while managing assumed project financing, royalty obligations and a substantially enlarged share base.
