Lynas Rare Earths has agreed to acquire Meteoric Resources in an all-share transaction that would add Brazil’s Caldeira ionic-clay project to the Australian producer’s portfolio. The proposed A$968 million equity value is based on Lynas’s 60-day volume-weighted average share price, not a cash payment or a fixed amount payable at completion. 1
Under the binding scheme implementation deed announced October 1, Meteoric shareholders would receive 0.0207 new Lynas shares for each Meteoric share. At Lynas’s September 30 closing price, that implied A$0.286 per Meteoric share, a 68.4% premium to Meteoric’s previous close. On the 60-day average used for the headline valuation, the implied price was A$0.316. Meteoric holders would own about 5.9% of the combined company on a fully diluted basis if the scheme completes. 1
The strategic attraction is geological as well as geographic. Lynas currently draws its primary mine feed from Mt Weld in Western Australia and separates rare earths in Malaysia. Caldeira, in Minas Gerais, would add a large ionic-adsorption clay resource with both light and heavy rare earths. The companies report about 802,000 tonnes of contained neodymium-praseodymium oxides and 41,000 tonnes of dysprosium-terbium oxides in Caldeira’s Measured, Indicated and Inferred Mineral Resources. Those are contained resource figures, not recoverable saleable inventory. 13
Meteoric’s definitive feasibility study envisages average annual production of approximately 3,862 tonnes of NdPr and 127 tonnes of DyTb over the project life. Lynas says combining the companies would increase its reported Measured and Indicated total rare-earth-oxide resources by about 79% and reported ore reserves by about 26%, on a pro-forma arithmetic basis. The study’s production estimates remain contingent on development, financing and a final investment decision. 1
Caldeira’s processing route differs materially from Mt Weld’s hard-rock operation. Its clay-hosted mineralisation is designed to be excavated without conventional drilling and blasting and processed into mixed rare-earth carbonate. The companies see potential to feed Lynas’s existing Malaysian separation operations, while studying further processing in Brazil. Commercial recoveries, product specifications, logistics and the eventual capital allocation between Brazil and Malaysia will determine how much of the resource advantage becomes operating cash flow. 13
The transaction is structured to conserve Lynas’s cash. Its October announcement cited A$1.2 billion in cash and short-term deposits at June 30 and a Caldeira development capital requirement of more than US$500 million. Lynas has also agreed to provide Meteoric an unsecured interim facility of up to A$110 million, including an initial A$35 million tranche, to support project work and transaction costs while the scheme is pending. The facility is not equivalent to fully financing construction. 1
Completion is not automatic. Meteoric expects to send shareholders a scheme booklet in December, hold a vote in January 2027 and, subject to the required shareholder majority, court sanction, independent expert assessment and Brazilian change-of-control approval, implement the transaction by March 2027. Until then, Caldeira remains a Meteoric asset rather than an operating Lynas mine. 12
For investors, the immediate questions are the effective dilution and acquisition premium, the timetable for regulatory clearance, and whether Lynas can translate Caldeira’s ionic-clay resource into qualified heavy-rare-earth feed without undermining returns on its existing expansion programme. The deal buys a development option and resource scale; it does not add near-term oxide output. 1
