Arafura Starts Nolans Build With October Funding Settlement Still Ahead

Arafura Rare Earths has moved Nolans from development into construction, but one financial milestone still sits between the project and a fully settled funding package: contractual close and strategic-equity settlement targeted for October.12\n\nThe company took final investment decision in May and began the transition to construction in September. It has raised more than A$930 million of equity during the financial year and reported pro-forma cash above A$900 million after post-year-end settlements. Management has also assembled A$775 million of senior debt facilities, A$200 million of National Reconstruction Fund convertible notes and strategic equity commitments from Export Finance Australia and Germany’s Raw Materials Fund.12\n\nThat is substantial funding progress, but the sequencing matters. Arafura said in its September results presentation that contractual close of project financing was in its final stages and that settlement of the EFA and German subscriptions was targeted for October. Management said the project would be fully funded once project finance is executed and those strategic subscriptions settle.2\n\nThe distinction is more precise than saying Nolans is either funded or unfunded. Arafura has already secured the equity component required for development, subject to completion conditions on some subscriptions, and has enough capital to move into early construction. The remaining October close is the point at which the layered debt and strategic-equity package is meant to become fully effective.12\n\nNolans is designed to produce roughly 4,400 tonnes a year of neodymium-praseodymium oxide from an integrated mine and processing complex in the Northern Territory.2 Construction is expected to run for about 37 months, with practical completion targeted for late 2029. That timetable makes financing close an immediate catalyst, but plant delivery, commissioning and ramp-up will ultimately determine the project’s economics.\n\nCommercial coverage has also improved. Arafura’s May financing announcement said binding offtake and government support represented about 93% of its binding offtake target, including a 500-tonne-a-year NdPr term sheet with Traxys. The company has since continued to add customer commitments.1 Offtake reduces marketing risk; it does not substitute for construction execution or financing settlement.\n\nThe investment case has therefore changed. Nolans is no longer waiting for a board decision or an initial equity raise. It is entering a multi-year build with a large capital stack and a defined near-term closing event. The cleanest next checkpoint is October: if contractual close and the strategic subscriptions settle as planned, financing risk recedes and construction execution becomes the dominant variable.2
